The exact scope, deliverables, and timelines for each project may vary depending on individual agreements, proposals, or project discussions.
2. Client Responsibilities
Clients working with ODYSSEY agree to:
• Provide accurate project requirements and information
• Maintain clear and timely communication
• Provide necessary assets, credentials, and approvals when required
• Review submitted work within a reasonable timeframe
• Avoid misuse of delivered services or products
• Fulfill agreed payment obligations
Delays in communication, approvals, or required materials may affect project timelines and delivery schedules.
3. Payment Terms & Billing
Payment structures may vary depending on the type and scale of the project.
General payment arrangements may include:
• Upfront deposits
• Milestone-based payments
• Monthly retainers
• Subscription or maintenance fees
Invoices are expected to be paid within the agreed timeframe specified in project agreements or invoices.
ODYSSEY reserves the right to pause or delay services if payments are overdue.
Additional work outside the agreed project scope may require separate billing or revised quotations.
4. Project Delivery & Timeline Disclaimer
ODYSSEY aims to deliver projects within estimated timelines; however, timelines may vary depending on:
• Project complexity
• Client feedback and approval delays
• Third-party service dependencies
• Technical limitations or unexpected issues
• Scope changes or additional requests
Estimated timelines are provided in good faith but should not be considered legally guaranteed delivery dates unless explicitly stated in a separate written agreement.
5. Revisions & Change Requests
Reasonable revisions may be included depending on the agreed project scope.
Additional revisions, major design changes, feature modifications, or scope expansions requested after project approval may:
• Extend delivery timelines
• Require additional costs
• Need revised project agreements
ODYSSEY reserves the right to evaluate and approve change requests based on feasibility and project impact.
6. Intellectual Property Rights
Unless otherwise agreed in writing:
• Clients retain ownership of their provided content, branding, and materials
• ODYSSEY retains ownership of internal tools, frameworks, reusable systems, and development methodologies
• Final project ownership may transfer to the client upon full payment completion
ODYSSEY may display completed projects, designs, or development work in portfolios, presentations, or promotional materials unless otherwise agreed.
7. Third-Party Services
ODYSSEY may utilize third-party platforms, APIs, hosting providers, plugins, tools, or software services during project development.
Examples may include:
• Shopify
• Google Workspace
• GitHub
• Discord
ODYSSEY is not responsible for outages, policy changes, pricing changes, security incidents, or limitations caused by third-party providers.
8. Limitation of Liability
To the maximum extent permitted by applicable law, ODYSSEY shall not be held liable for:
• Indirect or consequential damages
• Loss of revenue, profits, or business opportunities
• Data loss or service interruptions
• Third-party platform failures
• Security incidents outside reasonable control
• Delays caused by external dependencies or client-side issues
Clients are responsible for maintaining backups and ensuring appropriate operational practices for their business systems.
9. Confidentiality
ODYSSEY respects client confidentiality and will make reasonable efforts to protect confidential information shared during projects.
Both parties agree not to intentionally disclose sensitive project information, credentials, business data, or proprietary materials without consent, unless required by law.
10. Termination & Cancellation
Either party may terminate a project or service arrangement under reasonable circumstances.
ODYSSEY reserves the right to suspend or terminate services if:
• Payments remain overdue
• Abusive or inappropriate behavior occurs
• Project cooperation becomes unreasonable
• Terms are violated
In the event of cancellation:
• Completed work up to the termination date may remain billable
• Deposits or completed milestone payments may be non-refundable depending on work completed
• Access to unfinished deliverables may be restricted until outstanding balances are resolved
11. Governing Law & Dispute Resolution
These Terms shall generally be governed by the applicable laws and regulations of the jurisdiction in which ODYSSEY operates.
In the event of disputes, both parties agree to first attempt resolution through good-faith discussion and negotiation before pursuing formal legal action.
12. Changes to Terms
ODYSSEY reserves the right to update or modify these Terms of Service at any time.
Updated versions become effective once published through official ODYSSEY platforms or communication channels.
Continued use of ODYSSEY services after updates constitutes acceptance of the revised Terms.
